Terms of Service

1. Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you and INFiNIT Enterprises ("INFiNIT-OS", "we", "us"), a company based in Orange County, California. By accessing or using any part of the INFiNIT-OS platform — including the INFINITIX ticketing system — you agree to be bound by these Terms. If you do not agree, do not use the platform.

2. Services

INFiNIT-OS provides a software-as-a-service platform including:

  • INFINITIX: Event ticketing, RSVP management, QR code entry, waitlists, and audience marketing tools.
  • Agency Hub: Project management, client invoicing, estimates, and team scheduling (in development).
  • Creative Studios: Media asset management and social publishing tools (in development).

3. Ticket Purchases & Refunds

Refunds are issued at the sole discretion of the event organizer. INFiNIT-OS provides the necessary infrastructure for organizers to securely process refunds, but we do not mandate or authorize refunds on their behalf unless an event is officially cancelled. INFiNIT-OS platform fees are non-refundable.

Ticket buyers must contact the event organizer directly for refund requests. Contact information for each event organizer is displayed on the event ticket page.

4. Platform Fees

Paid ticket sales are subject to a platform fee of 4% + $1.00 USD per ticket automatically deducted at the time of settlement via Stripe. Free RSVP events are not subject to platform fees. Organizer subscription plans may modify the applicable fee structure. All fees are disclosed transparently before ticket creation.

5. Organizer Responsibilities

Event organizers are solely responsible for:

  • The accuracy of all event information published on the platform.
  • Obtaining all necessary permits, licenses, and insurance for their events.
  • Managing venue capacity and ensuring guest safety at the event.
  • Complying with all applicable local, state, and federal laws.
  • Providing refunds to ticket buyers in the event of cancellation.
  • Completing identity verification (KYC) before receiving payouts.

6. KYC & Payout Withholding

To comply with financial regulations and prevent fraud, organizers must complete identity verification before funds are released. Payouts for ticket revenue are withheld for a minimum of 24 hours following the event's scheduled end time before being transferred to the organizer's connected Stripe account. INFiNIT-OS reserves the right to extend this hold period in cases of elevated dispute risk.

7. Promo Codes & Affiliates

Organizers may create discount promo codes and affiliate commission programs through the platform. Affiliate payouts are calculated automatically based on referral attributions at checkout and are disbursed through the organizer's connected Stripe account. INFiNIT-OS is not party to affiliate agreements between organizers and their promoters.

8. Acceptable Use

You agree not to use the platform to:

  • Sell tickets to fraudulent, non-existent, or illegal events.
  • Collect personal information beyond what is required for event registration.
  • Circumvent capacity limits, security features, or QR validation systems.
  • Distribute malware, phishing content, or spam through campaign tools.
  • Engage in money laundering, fraud, or any activity that violates applicable law.

Violations will result in immediate account suspension and referral to appropriate authorities.

9. Intellectual Property

The INFiNIT-OS platform, its design, software, and operational systems are the exclusive intellectual property of INFiNIT Enterprises. You are granted a limited, non-transferable license to use the platform for its intended purpose. You may not reverse engineer, copy, or redistribute any component of the platform.

10. Limitation of Liability

To the maximum extent permitted by law, INFiNIT Enterprises shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to lost profits, lost data, or event cancellations. Our total liability in any matter shall not exceed the fees paid by you in the 30 days preceding the event giving rise to the claim.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California. Any disputes shall be resolved in the courts located in Orange County, California, and you consent to the exclusive jurisdiction of such courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email with at least 14 days' notice. Continued use of the platform after such notice constitutes acceptance of the revised Terms.

13. SMS Communications & TCPA Consent

By providing your phone number during ticket checkout or account registration, you expressly consent to receive transactional SMS messages from INFiNIT-OS, including ticket confirmations, QR code delivery links, loyalty perk notifications, and event updates. Message and data rates may apply. Message frequency varies by usage. You may opt out at any time by replying STOP to any message. Opting out of SMS will not affect your ticket validity or account status.

14. Age Requirements

You must be at least 18 years old to create an organizer account or connect a Stripe payout account. Ticket buyers must be at least 13 years old. If you are between 13 and 18, you represent that you have obtained parental or guardian consent to use the platform. We do not knowingly collect personal information from children under the age of 13. If we discover that a child under 13 has provided us with personal data, we will delete it promptly.

15. Indemnification

Event organizers agree to indemnify, defend, and hold harmless INFiNIT Enterprises, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising out of or related to: (a) events hosted using the platform, including but not limited to personal injury, property damage, or noise violations; (b) any breach of these Terms; (c) any violation of applicable laws by the organizer; or (d) disputes between the organizer and their ticket buyers, affiliates, or staff.

16. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the platform shall be resolved through binding individual arbitration administered under the rules of the American Arbitration Association (AAA) in Orange County, California. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration. Each party shall bear its own costs, except as required by law. This arbitration clause does not apply to claims for injunctive or equitable relief related to intellectual property infringement.

17. Account Termination

INFiNIT-OS reserves the right to suspend or permanently terminate any account at its sole discretion, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination, your right to use the platform ceases immediately. Any outstanding payouts owed to you will be processed in accordance with Stripe's standard settlement timeline, less any applicable fees or chargebacks.
